Terms of Service

1. Introduction and Legal Entity

These Terms of Service (the "Terms") form a legally binding agreement between you ("you", "User") and Altifly Systems GmbH ("altifly systems", "we", "us", "our") and govern your access to and use of our websites, product pages, software interfaces, authenticated areas, and related services (collectively, the "Services").

Altifly Systems GmbH is a Swiss company with registered office at Hinterbergstrasse 53, 6312 Steinhausen, Switzerland, registered under commercial register number CH-170.4.024.434-5 and UID CHE-161.398.287.

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Services.

2. Eligibility; Authority; Enterprise Use

You may use the Services only if you are at least 18 years old and capable of entering into a binding agreement. If you use the Services on behalf of a company, public body, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

3. Scope of the Services

The Services may include informational content, product pages, engineering service descriptions, documentation, contact workflows, authenticated dashboards, and other functionality. We may update, modify, suspend, or discontinue any portion of the Services at any time. Where required by applicable law, we will provide notice of material changes.

4. Acceptable Use

You agree to use the Services only in compliance with applicable laws and these Terms. You must not, and must not attempt to:

Access or use the Services for unlawful, fraudulent, or deceptive purposes;
Interfere with, disrupt, or degrade the integrity, security, or performance of the Services;
Probe, scan, or test the vulnerability of any system or network or breach security measures;
Attempt to gain unauthorized access to accounts, systems, or data;
Upload, transmit, or distribute malware or other harmful code;
Reverse engineer, decompile, or attempt to extract source code, except to the extent permitted by mandatory law;
Use automated means (including bots or scrapers) to access the Services in a manner that violates our technical restrictions.

5. Accounts, Authentication, and Security

Certain areas of the Services require authentication. You are responsible for safeguarding your credentials and for all activity conducted through your account. You must promptly notify us if you suspect unauthorized access or a security incident involving your account.

We may suspend or terminate access, without liability, if we reasonably believe that: (i) your account has been compromised; (ii) you have violated these Terms; or (iii) your use presents a security, compliance, or legal risk.

6. Commercial Context

The Services may be accessed by commercial customers, engineering teams, research organizations, and public-sector entities. Unless explicitly agreed in writing, nothing on the Services constitutes a binding offer, technical guarantee, engineering warranty, or procurement commitment. Any commercial relationship, licensing arrangement, engineering engagement, or supply relationship is subject to a separate written agreement signed by authorized representatives of the parties.

7. Intellectual Property; License Restrictions

The Services and all related intellectual property, including software, code, designs, graphics, trademarks, logos, documentation, and content, are owned by or licensed to Altifly Systems GmbH and are protected by applicable intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose. You must not copy, modify, distribute, sell, lease, sublicense, or create derivative works of any part of the Services except as permitted by law or by a separate written agreement.

8. Confidentiality

Certain information available through the Services may be non-public or sensitive, including information accessible through authenticated areas, documentation, or private communications (the "Confidential Information"). You agree to protect Confidential Information and not disclose it to third parties or use it for any purpose outside your legitimate evaluation or use of the Services, unless expressly authorized in writing or required by law.

9. Third-Party Services and Links

The Services may include integrations, embeds, references, or links to third-party services. We do not control third-party services and are not responsible for their content, terms, or practices. Your use of third-party services is governed by the applicable third-party terms.

10. Disclaimers

To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis. We disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, secure, or free from harmful components. You are responsible for implementing appropriate safeguards (including security controls) when using the Services.

11. Limitation of Liability

To the maximum extent permitted by law, Altifly Systems GmbH shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, goodwill, or data, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Services or these Terms shall not exceed the amounts paid by you (if any) for access to the Services in the twelve (12) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless Altifly Systems GmbH and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (i) your use of the Services; (ii) your violation of these Terms; or (iii) your infringement of any rights of a third party.

13. Suspension and Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms or if suspension is necessary to protect the Services, other users, or to comply with legal obligations.

Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive termination (including intellectual property, confidentiality, disclaimers, limitation of liability, and governing law) will survive.

14. Changes to the Services and the Terms

We may update the Services and these Terms from time to time. If changes are material, we will take reasonable steps to provide notice, such as posting updated Terms and updating the "Last updated" date. Continued use of the Services after the effective date of the updated Terms constitutes acceptance of the updated Terms.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of Switzerland. Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the competent courts of Steinhausen, Canton of Zug, Switzerland, unless mandatory law requires otherwise.
